1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Branded X Spaces ("we," "us," or "our"), concerning your access to and use of the brandedxspaces.com website as well as any related media form, physical installation services, or e-commerce transactions connected thereto.

By engaging our services, purchasing our products, or accessing our site, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these terms, then you are expressly prohibited from using the site and our services.

2. Custom Projects & Installation

For bespoke environmental graphic design, wall branding, and signage systems, the following terms apply:

• Venue Permissions: You represent and warrant that you have the legal right, authority, and necessary permissions from property owners, landlords, or facility managers to allow Branded X Spaces to install physical graphics, signage, and fixtures on the premises.
• Site Conditions: While we conduct rigorous site audits, Branded X Spaces is not liable for pre-existing structural deficits, hidden plumbing, electrical wiring, or poor wall integrity that may impede installation or cause unforeseen damage during the drilling or mounting process.
• Approvals: Once digital mockups and spatial renders are formally approved by you, any subsequent changes to layout, sizing, or materials during the fabrication or installation phase will incur additional change-order fees.

3. E-Commerce & Standalone Products

For the purchase of ready-made artwork (including educational, motivational, and relaxational prints), the following applies:

All physical products are subject to availability. We make every effort to display the colors, features, and specifications of our products accurately. However, we do not guarantee that the colors or details will be completely accurate, complete, or free of errors, as your electronic display may not accurately reflect the actual colors of the final physical print.

Returns and exchanges for physical products are handled on a case-by-case basis and must be initiated within 7 days of delivery, provided the item is in its original, undamaged condition.

4. Intellectual Property Rights

Unless otherwise indicated or formally transferred in a separate design contract, the Site and all source code, databases, functionality, software, digital renders, environmental mockups, and graphics (collectively, the "Content") are owned or controlled by us and are protected by copyright and trademark laws.

When you provide your company’s logos, brand guidelines, or proprietary imagery to us for use in an environmental installation, you retain all ownership rights to those specific assets. You grant us a limited, non-exclusive license to use, reproduce, and physically install those assets solely for the purpose of fulfilling your project.

5. Limitation of Liability

In no event will we or our directors, employees, or fabricators be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the site or our physical installation services.

Our liability regarding environmental installations is strictly limited to the repair or replacement of defective signage or graphics produced by us, and does not extend to the reimbursement of structural property repairs unless explicitly caused by gross negligence on our part.

6. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the Federal Republic of Nigeria. Branded X Spaces and yourself irrevocably consent that the courts of Lagos State, Nigeria, shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use, the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating any legal action.
